Platform Terms of Service & User Agreement

Effective Date: July 24, 2025

Welcome to the WTD Platform (“Platform”), operated by Livable Learning, LLC d/b/a WTD (“WTD”, “we”, “us” or “our”). This User Agreement (the “Agreement”) govern your access to and use of our services, platform content, and platform features.

By using the Platform, you agree to these terms.

1. Eligibility

You must be at least 18 years old to use the Platform. All users must complete a verification process prior to gaining access.

Educators must successfully complete the WTD educator verification process to become members.

Professional Development Providers (“PD Providers”) must complete a manual vetting process conducted using WTD’s proprietary review technology and team approval.

2. Accounts

You must be a verified member to access any features of the Platform. Our Platform is built on trust, and all users are expected to provide complete and accurate information during account creation. If it is determined that a user has provided false or misleading information, WTD enforces a strict no-tolerance policy. The user will be notified and their account will be subject to deletion unless they promptly provide documentation or confirmation to verify their provided information.

Verified educators and PD Providers may create free or paid accounts, each with a different set of features. Features available under free accounts are limited and may change at any time without prior notice. PD Providers may also create accounts that allow them to list or promote content or services through the Platform, subject to WTD’s vetting and community standards. All feature availability is subject to periodic review and change.

Individual paid memberships (including annual or three-month plans) are refundable only within the first 30 days after activation. After that period, the membership becomes non-refundable unless otherwise agreed to in writing by both parties. Group memberships or institutional subscriptions are governed by separate agreements and cannot be modified by individual users included in those groups; any modification must be initiated by the designated point of contact for the school, district, or organization.

3. Use of the Platform

We take pride in being a platform where educators and providers encourage one another to thrive professionally and personally. Users are expected to foster a respectful and positive environment.

WTD maintains a no-tolerance policy regarding harassment, doxxing, impersonation, and disruptive behavior. Users may report inappropriate conduct, and a formal review process will be initiated. Reported users may be subject to WTD’s no-tolerance policy, including account suspension or deletion.

We also value authentic human connection. To protect the integrity of the community and ensure high-quality interaction, we reserve the right to restrict or prohibit the use of AI-generated content on the Platform. Any use of AI tools must be clearly disclosed and comply with our community standards and verification practices.

Prohibited behavior includes, but is not limited to:

  • Uploading harmful, misleading, or illegal content
  • Harassment or impersonation
  • Use of undisclosed AI-generated content
  • Reverse engineering, scraping, or interfering with the Platform’s functionality

4. Intellectual Property

All software, code, proprietary methods, and design elements are the property of WTD. PD Providers retain all rights, title, and interest in the content they submit to the Platform, including but not limited to insights, experiences, videos, images, and course materials.

When you interact with the Platform, you grant WTD a limited, non-exclusive, transferable, sub-licensable, royalty-free license to host, use, distribute, and copy any content provided by you for purposes related to the Platform, such as educator engagement and professional development.

5. Data Security and Compliance

Use of the Platform is subject to our Privacy Policy, which outlines how data is collected, used, and protected. The Platform implements encryption for data both in transit and at rest, enforces role-based access controls, uses secure authentication practices, and conducts regular security monitoring.

The posting, sharing, commenting, or disseminating in any form of information, either individually or in the aggregate with other information hosted on the Platform, subject to the protections of the Family Educational Rights & Privacy Act (“FERPA”), Children’s Online Privacy Protection Act (“COPPA”), and any other applicable state or federal education privacy laws is expressly prohibited. You agree not to post, share, comment, or in any way disseminate information that could violate any such applicable statute, rule, or regulation.

Users agree not to misuse the platform in a way that violates these standards.

6. Data Access and Deletion

You may request access to, correction of, or deletion of your personal data at any time by contacting . We respond to verified requests within 30 days, in accordance with our Privacy Policy.

Upon a valid deletion request, we will fully remove user data from our active systems unless retention is required by law. This includes removal from backups, caches, and third-party processors where applicable. Select content deletion requests are honored within the same 30-day timeline.

7. Security Incidents

In the event of a data breach or unauthorized access involving user information, we will notify affected users and/or affiliated institutions without undue delay and no later than the timeline required under applicable federal and state laws.

Notifications will include information on the nature of the breach, data impacted, our response measures, and contact information for follow-up. We maintain incident response protocols and log all access to sensitive data as part of our compliance with applicable state and federal education privacy requirements.

8. Third-Party Services

We do not sell user data or share any data with advertisers, but the Platform relies on secure third-party services to deliver functionality while maintaining user privacy. Limited data sharing occurs only as necessary, including with essential service providers, and if an account was created through a group agreement with a school district, with such school district.

9. Indemnification

You agree to indemnify, defend, and hold harmless WTD and its officers, directors, employees, agents, affiliates, successors, and permitted assigns from and against any and all claims, liabilities, damages, judgments, losses, deficiencies, actions, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Platform
  • Your violation of any part of this Agreement, including Section 5 and any violations of FERPA, COPPA, or other information privacy laws and regulations
  • Your violation of any third-party rights, including intellectual property or data privacy rights
  • Any content you submit or make available through the Platform
  • Your breach of any applicable laws or regulations

This indemnification obligation will survive the termination or expiration of this Agreement and your use of the Platform.

10. Termination

We reserve the right to suspend, disable, or permanently terminate your access to the Platform at our sole discretion, without prior notice, if we determine that you have violated this Agreement, breached our community standards, provided false information during account creation, or engaged in conduct that poses a legal, reputational, or security risk to the Platform, our users, or third parties.

You may request to terminate your account at any time by contacting . Upon termination (by either party), your access to all Platform features will be revoked, and your content may be removed. Personal data and user-generated content will be handled in accordance with our Privacy Policy, including any applicable rights to access, deletion, or data retention obligations.

11. Disclaimers and Limitation of Liability

The Platform and all services provided are offered “as is” and “as available”, without warranties of any kind, either express or implied. We do not guarantee that the Platform will be error-free, uninterrupted, secure, or free from viruses or other harmful components.

We expressly disclaim all warranties, including but not limited to the warranties of merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, WTD and its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content you post on the Platform; (c) any conduct or content of any third party on the Platform; and/or (d) any unauthorized access, use, or alteration of your transmissions or content.

12. Alternative Dispute Resolution

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. BY AGREEING TO ARBITRATE DISPUTES, YOU AND WTD EXPRESSLY WAIVE THE RIGHTS TO SUE IN COURT AND TO A TRIAL BY JURY.

You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the breach thereof, or your use of the Platform through informal negotiation with us.

13. Modifications

We may modify or update this Agreement from time to time in response to evolving legal, technical, or business developments. When changes are made, we will revise the date at the top of this document and, where appropriate, notify you by email. Your continued use of the Platform after any such modifications constitutes your acceptance of the revised Agreement. If you do not agree to the new terms, you must discontinue use of the Platform.

14. Governing Law

This Agreement and any dispute related to it shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA, without regard to its conflict of law provisions.

You consent to the exclusive jurisdiction of the state and federal courts located Arlington County, Virginia to resolve any legal disputes related to this agreement. This consent to jurisdiction shall not be construed to in any way diminish the enforceability of this Agreement’s provision(s) relating to arbitration.

15. Assignment

This Agreement may not be assigned by you to any third party without our prior written consent.

16. Severability

If any provision or part of a provision of this Agreement is deemed to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. If we waive of any provision or condition of this Agreement, it shall not be construed as a waiver of any subsequent breach or violation, or a waiver of any other provision or condition of this Agreement.
